Dear Sir/Madam,
• The 18th Annual General Meeting (AGM / the meeting) of the members of BAJAJ
AUTO LIMITED was held on Wednesday, 6 August 2025 at 12:30 p.m. at the
Registered Office of the Company at Mumbai - Pune Road, Akurdi, Pune - 411035.
• Shri Niraj Bajaj, Chairman of the Company chaired the meeting.
• Members Present: 213 Members attended the meeting.
• The requisite quorum, being present, Chairman called the meeting to order.
• The Chairman informed the Members that the Company had provided the facility of
one-way Live Webcast of the proceedings of this AGM which could be viewed live by
the Members by logging on to the website of the Registrar, KFin Technologies
Limited (KFin).
• The Chairman introduced the Directors & Key Managerial Personnel seated on the
dais / present through video-conferencing facility (VC).
He in particular confirmed the presence of Shri Anami N. Roy, Chairman of the Audit
Committee and Risk Management Committee, Dr. Naushad Forbes, Chairman of the
Nomination & Remuneration Committee and Shri Pradip Shah, Chairman of the
Stakeholders’ Relationship Committee. He then confirmed the presence of Shri Paul
Alvares , Partner, S R B C & CO LLP, Statutory Auditors of the Company and Shri
Shyamprasad D. Limaye, the Secretarial Auditor for FY 2024-25, Shri R B Laddha,
Cost Auditor of the Company and M/s. Makarand M Joshi & Co., Scrutiniser
appointed by the Company to scrutinise the e-voting process on the resolutions
proposed in the notice of the said meeting.
The Chairman, on behalf of Board, then expressed profound grief on the demise of
Late Shri Madhur Bajaj on 11 April 2025, who was the former Non-executive Vice

Chairman of the Company and associated with the Company & Bajaj Group for over
45 years.
• The Chairman then mentioned that the Chief Financial Officer and Company
Secretary were present at the meeting.
• The Chairman informed the members that the necessary documents & registers
pursuant to the Companies Act, 2013 were available for inspection during the
continuance of the meeting.
• The Chairman then delivered his opening address. He gave an overview & highlights
of the performance of the Company during the FY 25 and the first quarter of current
year of FY 26.
• The Chairman thereafter, informed the members that the Company had provided the
members the facility to cast their votes through remote e-voting on all the resolutions
set forth in the AGM notice. Members who were present at the meeting and had not
cast their votes through remote e-voting were provided an opportunity to cast their
votes at the end of the meeting.
• The Chairman then briefed the members about the following items of business, set
out in the Notice of 18th AGM, which were commended for members’ consideration
and approval: -
Ordinary Business (Ordinary resolution):
(i)
Adoption of the audited standalone and consolidated financial statements for the
financial year ended 31 March 2025 and Directors’ & Auditors’ Reports thereon;
(ii)
Declaration of dividend of Rs. 210 per equity share of face value of Rs.10 each
for the financial year ended 31 March 2025;
(iii) Re-appointment of Shri Niraj Bajaj, who retires by rotation;
Special Business:
(iv) Ratification of the remuneration to the Cost Auditor (Ordinary resolution);
(v)
Appointment of M/s. Makarand M Joshi & Co. as Secretarial Auditor for a term of
5 consecutive years and to fix their remuneration (Ordinary resolution).
• On the invitation of the Chairman, Members made their comments, put up their
queries, and sought clarifications on the Company’s accounts, businesses & other
related matters.
• Clarifications were provided by Shri Pradeep Shrivastava and Shri Rakesh Sharma,
Executive Directors of the Company and Shri Dinesh Thapar, CFO to the queries
raised by the members.

• Shri Rajiv Bajaj, Managing Director & Chief Executive Officer, thereafter, replied to
the remaining queries and then thanked all the members for their participation at the
AGM and for their constructive suggestions and comments. He also gave his
insights into a few important areas of business of the Company.
• The Chairman then authorised the Company Secretary and the Scrutiniser to
coordinate for an orderly conduct of the e-voting process.
• The Chairman informed the Members that the e-voting results along with the
consolidated Scrutiniser’s Report shall be filed with the stock exchanges not later
than 8 August 2025 and also be placed on the website of the Company and KFin.
• The Chairman, thereafter, thanked all the Members for their continued support &
trust and for participation at the meeting, constructive suggestions and comments
and prayed for their good health and safety.
• The meeting commenced at 12:30 p.m. and concluded at 2:15 p.m. (including time
allowed for e-voting at AGM).
