Fernandez has submitted resignation as Chief Executive Officer & Managing Director of
AXISCADES Technologies Limited (“Company”), vide letter dated August 22, 2025, with effect
from closing hours of August 22, 2025.
b. Re-designation of Dr. Sampath Ravinarayanan (DIN: 00208793) as “Chairman and
Managing Director” of the Company
Pursuant to resignation of Mr. Alfonso Martinez Fernandez, the Board of Directors vide
Circular Resolution passed today, has approved re-designation of Dr. Sampath Ravinarayanan
(DIN: 00208793) from “Chairman and Whole Time Director” to “Chairman and Managing
Director”, with effect from August 23, 2025.

As you are aware, AXISCADES Technologies is implementing a non-linear product led growth
strategy in its quest to be a $ 1 Bn revenue company by 2030. Achieving this vision requires a
significant expansion of our international business, partnerships, and alliances.
Given my experience as a global business leader, I believe I am well-positioned to drive this
transformation. To effectively lead these initiatives, it is essential for me to be based outside
India, enabling closer engagement with international customers and partners.
Having regard to the above, I hereby tender my resignation from the position of Chief
Executive Officer and Managing Director of AXISCADES Technologies Ltd, the Indian Listed
Entity, effective· from closing hours of 22nd August, 2025, as I will be assuming a new and
expanded role in the International Business of AXISCADES.
